1. Introduction

Welcome to Byfluence, an e-commerce and service platform owned and operated by Nexa IT Solution. Byfluence provides a trusted space where individuals and businesses can sell physical products, digital products, or consultation services securely and efficiently.

By accessing or using Byfluence ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and any additional policies displayed in the footer of byfluence.com. If you do not agree with any of these Terms, you may not use the Platform.

Byfluence is created to empower users to earn income, run businesses, and access digital opportunities wherever they are — as long as they meet all required registration standards and comply with Ethiopian laws.

These Terms apply to all users worldwide, regardless of location, while complying with Ethiopian regulations.

2. Definitions

  • Byfluence / We / Us / Our: Nexa IT Solution, the operator of the platform.
  • User: Anyone using the Byfluence platform, including Buyers and Sellers.
  • Seller: Any verified individual or business offering physical, digital, or consultation services on Byfluence.
  • Buyer: Any user purchasing goods or services from a Seller.
  • Product: Any listing offered on the platform — including physical goods, digital items, and consultation or service sessions.
  • Escrow: The secure payment system that holds Buyer funds until the delivery or service completion is confirmed.
  • Payment Gateways: Licensed Ethiopian payment processors including Chapa and Telebirr.
  • Payout Account: The Seller's verified Ethiopian bank account used for withdrawals.

3. Account Eligibility and Setup

  • Users must be 18 years or older and capable of entering into binding contracts under Ethiopian law.
  • Sellers must provide accurate registration details, including a valid business license and identification.
  • Users are responsible for maintaining account security and preventing unauthorized access.
  • Multiple Accounts: Each business may operate only one Seller account, unless specifically approved by Byfluence.

4. Seller Verification and Licensing

All Sellers are required to hold a valid Ethiopian business license for their registered sector.

For certain industries (consultations, health, finance, legal, or education), Sellers must also provide professional or sector licenses.

Byfluence will verify the provided information before enabling any Seller account.

Bank account information can be added later in the Seller Manage Banks Dashboard, prior to withdrawal.

5. Platform Overview

Byfluence connects Buyers and Sellers under a trusted, escrow-based system that ensures secure payments and fair transactions.

During this early stage, only approved categories — such as fashion, cosmetics, and related lifestyle products — are accepted. Byfluence reserves full rights to approve or reject Sellers and product types at its discretion.

Payments and Currencies

Byfluence supports secure local and international transactions through Chapa and Telebirr. Using Chapa, customers can pay with Ethiopian Birr (ETB) or international methods such as credit and debit cards (Visa, MasterCard) and PayPal. All payments are automatically converted and settled in accordance with the gateway's supported currencies and exchange rates.

6. Acceptable Use and Prohibited Listings

  • Users agree not to use the Platform for any unlawful or restricted purpose.
  • Sellers must ensure that all listings, prices, and descriptions are accurate, complete, and lawful.
  • Prohibited listings include: counterfeit or illegal goods; items violating copyright, brand, or trademark rights; restricted or unsafe products; and financial, medical, or professional services without proper licensing.
  • All required listing fields — such as product name, description, product image, stock, delivery cost and price — must be completed before publishing.

7. Seller Responsibilities

  • Sellers control their stock, pricing, catalog, and delivery.
  • Sellers are responsible for product quality, safe packaging, and timely delivery.
  • Sellers must respond promptly to Buyer inquiries and support requests.
  • Sellers are responsible for updating product availability and order status.
  • Byfluence may suspend or restrict accounts that fail to meet delivery or service standards.

8. Delivery and Shipping (Physical Products)

  • Delivery options (such as D/T Delivery) will appear at checkout.
  • Shipping costs vary based on the destination and product weight.
  • Orders can be canceled only before shipping.
  • If a product is not received, Buyers should contact Byfluence Support for investigation.
  • Returns are accepted within 5–10 days after delivery.
  • Refunds are processed within 5–14 business days after inspection.
  • Certain products (e.g., hygiene items, customized goods, perishable goods) are non-returnable.
  • A downloadable PDF listing non-returnable product categories is available in each Seller Dashboard.

9. Consultation and Service Listings & Refund Policy

  • Only licensed and verified professionals may provide consultation or service listings on Byfluence.
  • All consultations and services are conducted online only through the Byfluence platform.
  • Buyers must complete payment through the platform before booking a session.
  • All paid amounts are securely held in escrow by Byfluence until the service provider (Seller) completes the session.
  • After the online consultation or service is successfully completed, funds are released to the Seller's payout account.
  • If a Seller repeatedly fails to provide the scheduled session or deliver the promised service, Byfluence may suspend or permanently close their account.

Consultation and Service Refund Policy

  • Refunds are issued only if a consultation is canceled by the provider or due to verified technical failures.
  • Refunds are not available for completed or partially attended sessions.
  • If a Buyer misses the scheduled session, no refund will be provided.
  • Refunds (when applicable) are processed within 5–10 business days to the original payment method.
  • Gateway and transaction fees are non-refundable.
  • Byfluence's decision on refund requests is final and binding.

10. Digital Products

  • Sellers may offer digital goods such as PDFs, video courses, or templates.
  • Digital items are delivered through secure download links.
  • All digital products are non-refundable once delivered or accessed.
  • If a Buyer cannot access the file, they must contact Support to resolve access issues.

11. Payment, Escrow, and Withdrawals

Byfluence accepts both local and international payments through licensed and secure channels (Chapa, Telebirr, and other authorized partners). All Buyer payments are held securely in escrow until delivery or service completion is confirmed.

Byfluence does not access or store users' credit or debit card information.

Withdrawals can only be requested when the Seller has an available and cleared balance in their account. Sellers must have earnings released from escrow and visible as available balance before requesting withdrawal. Sellers may add or update their payout bank account only after meeting the minimum balance required by the payment gateway.

Byfluence charges a small platform service fee per transaction. Gateway fees and bank charges are non-refundable, except when returned by the payment processor. Exchange rates and conversion fees for international transactions are determined by the payment provider. Sellers can export full transaction statements for financial or tax purposes.

Payout Limits and Rules

  • Withdrawals must comply with the minimum and maximum daily payout limits set by each payment gateway.
  • Chapa Payouts: Follow Chapa's official minimum and maximum withdrawal limits per day.
  • Telebirr Payouts: Subject to Telebirr's transaction cap and balance limits per day.
  • Byfluence does not modify or override the gateway's withdrawal restrictions. Sellers are responsible for checking and adhering to the current payout limits.
  • Refunds for international payments will be processed through the same payment channel and currency when possible, subject to the payment gateway's policies.

12. Returns, Refunds, and Disputes

  • Refunds apply only for non-delivery, defective, or incorrect products.
  • Refunds include the product price and Byfluence service fee.
  • Gateway and bank fees are not refundable.
  • Refund requests must be submitted within 5 to 7 days after delivery confirmation.
  • Refunds are processed within 5–14 business days after inspection.
  • Dropshipping or manufacturer-supplied products follow their respective refund rules.
  • Return instructions are provided in your order details.
  • If a dispute arises between a Buyer and Seller, both parties agree to first attempt informal resolution through Byfluence's internal dispute resolution system. Complaints can be submitted through the Help Center or by email at support@byfluence.com. Byfluence will mediate in good faith and issue a written resolution before any legal action is taken.

13. Taxes and Compliance

All Sellers using Byfluence operate as independent businesses and are fully responsible for reporting and paying their own taxes in accordance with Ethiopian tax law.

Byfluence may provide downloadable statements and reports for convenience. These are for reference only. Byfluence does not act as a tax agent or withholding representative and does not file or pay any taxes on behalf of Sellers.

In the event of a technical issue or temporary data unavailability, Byfluence will make reasonable efforts to restore available records. However, Byfluence shall not be held liable for any penalties, losses, or damages arising from missing, delayed, or incomplete data.

Byfluence remains responsible only for its own corporate taxes, service fees, and regulatory obligations under Ethiopian law.

14. Intellectual Property

Sellers retain ownership of all content, product images, trademarks, and brand assets they upload to Byfluence. By uploading such content, Sellers grant Byfluence a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and promote that content for marketing and operational purposes related to the platform.

Byfluence may feature Seller products, store names, or media in promotional materials, advertisements, and social media without additional compensation or notice.

All content, technology, source code, software, databases, visual design, trademarks, logos, and all other materials created or used by Byfluence — including the Byfluence name, brand identity, platform design, and system code — are the exclusive property of Nexa IT Solution and are protected under Ethiopian and international intellectual property laws.

Users, Sellers, and third parties are prohibited from copying, modifying, reproducing, distributing, reverse-engineering, or attempting to extract any part of Byfluence's software, logo, or intellectual assets without prior written consent from Nexa IT Solution. Unauthorized use may result in legal action and termination of access.

15. Data and Records

Byfluence stores Seller data, transaction records, and business documents securely within its systems. Earnings, sales reports, and performance data are accessible in the Seller Dashboard, and can be exported for tax or business records.

Data Availability and Record Loss Disclaimer

While we use reputable systems and regular backups, records may be lost, corrupted, or temporarily unavailable due to technical failures, cyber incidents, or maintenance. In such events, Byfluence will make reasonable efforts to recover available records, but shall not be responsible for any loss arising from missing or deleted data. Sellers are strongly advised to regularly export and back up their own statements and reports.

Byfluence retains user data only as long as necessary to fulfill service purposes or comply with legal obligations.

Users may request account deletion or data removal by contacting support@byfluence.com.

Upon verified request, all associated personal data will be permanently deleted from Byfluence's active systems within 30 days, except where retention is required by law or financial regulations.

15A. Google API and User Data

  • Byfluence integrates with Google APIs (including Google Meet and Google Calendar) to enable users to schedule and conduct online consultations.
  • Byfluence's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
  • Data obtained from Google (e.g., user email, meeting link, calendar event time) is used solely for scheduling and delivering consultation services.
  • Byfluence does not sell, share, or use this data for advertising or unrelated purposes.
  • Users may request deletion of their Google-connected data at any time by contacting support@byfluence.com.
  • If a user revokes Google permissions, Byfluence immediately disables any automated scheduling features linked to their account.

16. Account Suspension or Termination

  • Byfluence may suspend Sellers who fail to deliver, violate these Terms, or engage in fraudulent practices.
  • Sellers wishing to close their accounts must contact Support to confirm identity and settle pending balances.
  • During an investigation, Byfluence reserves the right to freeze payouts until issues are resolved.
  • Users may request permanent deletion of their data before or after account closure by contacting support@byfluence.com.

17. Limitation of Liability and Quality Assurance

Byfluence is a service-based digital platform designed to connect Sellers and Buyers in a secure, transparent, and fair environment. While Byfluence does not manufacture or directly supply products or services listed by Sellers, we prioritize maintaining quality and trust across all transactions.

Byfluence reserves the right to review, investigate, and take corrective action — including suspension or permanent removal — against any Seller who repeatedly provides poor quality, receives excessive refund or complaint reports, or violates platform standards.

To strengthen customer trust, Byfluence may introduce a Trusted Product or Partnered Seller label for selected items or verified manufacturers when future features are launched. These labels indicate pre-approved, verified sellers or companies who meet Byfluence's standards.

Byfluence does not guarantee that any product, service, or Seller will meet Buyer expectations. Our responsibilities are limited to providing a secure transaction system and escrow protection, seller verification and category-based approvals, and a good-faith dispute resolution process.

Under no circumstance shall Byfluence, its directors, or affiliates be held liable for product or service performance, third-party delays, loss of income, or indirect damages. Byfluence's maximum liability is limited to the total amount of service fees collected by Byfluence from the relevant transaction.

18. Updates and Changes

Byfluence may update these Terms at any time, particularly when launching new features such as Dropshipping, Digital Products, or the upcoming Mobile Super App. Updated versions will be published in the footer section of byfluence.com. Continued use of the Platform constitutes acceptance of the revised Terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. All disputes shall be resolved in the competent courts of Addis Ababa, Ethiopia.
